Licensing, Bonding, and Insurance: The Service Provider affirms that they carry the necessary licensing, bonding, and insurance for every category of service provided. The Service Provider is solely responsible for ensuring that these documents are current and compliant with applicable laws.

Confidentiality: Both parties agree to treat any proprietary or confidential information exchanged during the term of this Agreement with the utmost confidentiality. Such information shall not be disclosed to third parties without the express written consent of the disclosing party.

Indemnification: The Service Provider agrees to indemnify and hold Listio harmless from any claims, damages, or liabilities arising from their services, including but not limited to, personal injury, property damage, or financial loss.

Dispute Resolution: Any disputes arising from or in connection with this Agreement shall be resolved through mediation, and if necessary, binding arbitration, in accordance with the rules of the [Arbitration/Mediation Institution]. Both parties agree to cooperate in good faith to reach a resolution.

Termination Clause: Either party may terminate this Agreement with [30] days' written notice. Termination may occur in the event of a material breach of this Agreement, failure to rectify a breach within a reasonable period, or any other just cause.

Renewal Terms: This Agreement shall automatically renew for successive [12]-month periods unless either party provides written notice of non-renewal at least [30] days before the end of the current term. Renewal may include adjustments to fees or services.

Compliance with Laws: The Service Provider shall comply with all applicable laws, regulations, and industry standards in the provision of their services.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of [Washington], without regard to its conflict of laws principles.

High-Quality Service Standard: The Service Provider agrees to make their best efforts to uphold the standard of high-quality service represented by Listio. Failure to do so may result in the Service Provider's removal from participating in Listio. The Service Provider must maintain a four-star average rating. If a complaint is made, the Service Provider agrees to make it right. A three-strikes rule applies: if the Service Provider receives three valid complaints, they may be removed from the network.

Disclaimer of Responsibility: Listio is not responsible for any of the services provided by the Service Providers in any way, shape, or form. The Service Provider assumes full responsibility for the quality and outcome of their services.
